How registering a company at the Junta Comercial works, step by step</a></h2>

Viability check (viabilidade).</strong> The Board checks that the company name is available and that the chosen activities and address are allowed at that location.</li>
Federal entry document (DBE).</strong> The company’s data is filed with the Receita Federal for the national record.</li>
Incorporation act.</strong> The contrato social (or the requerimento de empresário for a single owner) is generated by the system and signed digitally through gov.br or an e-CPF certificate.</li>
Junta approval (deferimento).</strong> The Board of Trade registers the act and issues the NIRE, giving the company its official existence.</li>
MAT and CNPJ.</strong> The person responsible completes the Receita Federal’s Tax Administration Module (MAT), choosing the tax regime; the CNPJ is then issued. Since 1 December 2025 the CNPJ is released only after this step, and there are 90 days to complete it.</li>
